Terms of Service for Centaurix Global Technologies

Welcome to Centaurix Global Technologies ("Centaurix," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, [www.yourwebsite.com], and the services we provide (collectively, the "Services"). Our Services consist of a technology-enabled, managed marketplace that facilitates the procurement of new and used industrial equipment, primarily hydraulic systems and related machinery ("Equipment").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.

1. Definition of Our Role
Centaurix is a Managed Marketplace, not a traditional broker, dealer, or manufacturer. Our role is to act as a facilitator and project manager for transactions between qualified buyers ("Buyers") and vetted equipment suppliers ("Suppliers").
For Buyers: We provide expert consultation, equipment sourcing, supplier vetting, certified inspection services (for used Equipment), and a secure transaction management process.
For Suppliers: We provide a platform to connect with qualified, high-intent Buyers from across India, along with a managed sales and logistics coordination process.
 
2. The Transaction Process (The "Centaurix Trust Protocol")
All transactions for Equipment facilitated through our platform will adhere to the following process:
2.1. Request for Quote (RFQ): Buyers may submit an RFQ through our website. By submitting an RFQ, you agree that we may contact you to qualify your requirements.
2.2. The Solution Proposal: Centaurix will present a formal proposal to the Buyer, which may include options for new or used Equipment from one or more of our vetted Suppliers. This proposal will detail the technical specifications, price, and our role in the transaction.
2.3. The Principal Model & SecurePay Escrow: To ensure maximum security and trust, Centaurix acts as the Principal in every transaction.
The Buyer will enter into a formal Purchase Order (PO) with Centaurix.
The Buyer will transfer all funds directly and exclusively to Centaurix Technologies' designated bank account. We will hold these funds in a secure, escrow-like manner.
Centaurix will issue its own Purchase Order to the Supplier.
Funds will only be released to the Supplier according to the pre-agreed milestones outlined in the Purchase Order (e.g., upon successful dispatch or commissioning).
2.4. Inspection of Used Equipment: For all used or refurbished Equipment, the Buyer has the right to a "Centaurix Certified Inspection," performed either by our personnel or a vetted, independent third-party engineer. The scope and results of this inspection will be provided to the Buyer before the finalization of the sale.
2.5. Logistics & Delivery: Centaurix will coordinate the logistics for the delivery of the Equipment. All costs associated with transportation, insurance, loading, and unloading are the responsibility of the Buyer, unless otherwise specified in the final Purchase Order.

3. User Obligations
3.1. Buyers: You agree to provide accurate and complete information in your RFQs. You agree to be bound by the terms of any Purchase Order you sign with Centaurix.
3.2. Suppliers: You agree to provide accurate and truthful information about the Equipment you offer. You agree that any sale facilitated by Centaurix is subject to our commission structure and our Principal transaction model. You agree not to circumvent or attempt to circumvent Centaurix by dealing directly with a Buyer introduced by us.

4. Fees and Payment
Our fees (commission or margin) are included in the final price quoted to the Buyer in the Solution Proposal and Purchase Order. There are no hidden fees.
All payments must be made in Indian Rupees (INR) to the bank account specified on our official Proforma Invoice.

5. Warranties and Disclaimers
New Equipment: All new Equipment is subject to the manufacturer's (Supplier's) original warranty. Centaurix will facilitate the warranty claim process but is not the warrantor.
Used Equipment: Unless explicitly stated in a written agreement, all used or refurbished Equipment is sold on an "as-is, where-is" basis. The purpose of the "Centaurix Certified Inspection" is to provide a fair and accurate assessment of the Equipment's condition at the time of sale, but it does not constitute a warranty of future performance.
Disclaimer: Centaurix makes every effort to provide accurate information and a secure transaction process. However, we are not liable for any manufacturing defects in new Equipment or latent defects in used Equipment. Our liability is strictly limited to the execution of our "Trust Protocol" as described in these Terms.

6. Intellectual Property
All content on this website, including text, graphics, logos, and our proprietary processes (like the "Centaurix Trust Protocol"), is the exclusive property of Centaurix Global Technologies and is protected by copyright and other intellectual property laws.
 
7. Limitation of Liability
To the fullest extent permitted by law, in no event will Centaurix Global Technologies, its directors, or its employees be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or other intangible losses, resulting from your access to or use of our Services. Our total liability for any claim arising out of these Terms or our Services will not exceed the total commission or margin earned by Centaurix on the specific transaction in question.
 
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Nashik, Maharashtra.
 
9. Amendments to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page. Your continued use of the Services after any such change constitutes your acceptance of the new Terms.
